Terms of Service
Loyla User Terms and Conditions governing your use of our platform.
This User Agreement ("Agreement") is entered into by and between Loyla Ltd, a company incorporated in England and Wales, with its registered office at Suite B Fairgate House, 205 Kings Road, Birmingham West Midlands, United Kingdom, B11 2AA ("Loyla" or the "Platform"), and the User, being a customer of the services provided on the Platform by Loyla Ltd.
1. Definitions and Interpretation
In these Terms, unless otherwise specified:
- "Agreement" means these User Terms and Conditions and any documents expressly incorporated by reference.
- "Customer, you, your" means a user, entity or individual who places an order for products or services through the app.
- "Account" means a registered user profile, created to access and use the App's services and features.
- "Merchant" means a third-party vendor who are offering the sales of goods and services to the user through the platform.
- "Click and Collect" means a service offered through the app whereby users can place orders, make payments and collect their orders from a designated collection place.
- "Digital Receipt" means an electronic recording of transactions made through the App, which outline details of the customer's purchase.
- "Loyalty" means incentives, points, rewards or stamps which can be earned and/or accumulated by the customer, on the Platform.
- "NFC" means a Near Field Communication used by Users for tap-based interactions, between two electronic devices, ensuring payments and information can be collected by Users.
- "Order" means a request placed by a User for Goods from a store partner as facilitated by the App.
- "Platform" means the mobile application and website. The app is a software application operated by Loyla used to order Goods from Store Partners for collection.
- "QR Code" means a Quick Response Code which can be read by imaging devices by Users to retrieve and direct data and code in order to access the Platform and retrieve information including digital receipts.
Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to legislation include amendments and replacements. 'Including' and similar expressions are not words of limitation.
2. Platform Role
2.1 Technology Platform Only
Loyla provides technology that enables users to discover local offers, place orders, receive digital receipts and engage with Loyalty programmes. The platform is not the seller of any goods or services and acts as a facilitator between the customer and the Merchant.
2.2 Merchant Relationship
Any transaction made is solely between the customer and relevant Merchant. Merchants are solely responsible for pricing, preparation, descriptions, availability, refunds, fulfilment and customer service. The Platform is not a party to these contracts between you and the relevant Merchant and therefore accepts no responsibility for the goods/services provided by the Merchants.
3. Eligibility and Account Registration
3.1 Age Restriction
To create an account and use the app, you must be aged 18 or over. By creating an account or using the app you confirm you fulfil the requirement. We may terminate or suspend any account where we have reason to believe this requirement is not met.
3.2 Account Registration
You must create an account using an email address or a third-party login provider such as Apple or Google.
3.3 Confidentiality Responsibility
You are solely responsible for your login credentials and all activity on your account including unauthorised use.
3.4 Responsibility to Provide Information
You must ensure that all information you provide is accurate, complete and kept up to date at all times.
4. Orders and Collection
4.1 Placing Orders
You may place orders with Merchants using the app where enabled and subject to Merchant availability.
4.2 Click and Collect
For click & collect orders, collection times and preparation windows are set by the relevant merchant.
4.3 No-Shows and Late Collection
Failure to collect an order within the outlined collection window, may result in cancellation without refund as per the Merchant's policy.
5. Payments
5.1 Payment Procedure
Payments are made directly to Merchants or via third-party payment providers.
5.2 Holding Payments
Loyla does not process or hold payments, unless expressly stated and where it does, this will be clearly outlined within the App.
5.3 Refunds, Cancellations, and Disputes
All refunds, cancellations and disputes are the responsibility of the relevant Merchant and must be addressed and settled with the relevant Merchant.
6. Loyalty Programmes
Loyalty points, rewards or stamps have no cash value, are not transferable and cannot be exchanged for money.
6.2 Click & Collect Loyalty
For click & collect orders, Loyalty is issued only once the Merchant confirms handover and the User confirms receipt within the Platform.
6.3 In-Store Loyalty
For in-store purchases, Loyalty is issued once you tap an NFC card or scan a QR code at the point of the sale.
6.4 Amendment, Suspension, and Termination of Loyalty
Loyalty programmes are handled by Merchants and may be amended, suspended or withdrawn by the Merchants at any time.
Loyla is not responsible for any unused, loss of or inability to redeem loyalty points (stamps, rewards, etc) if a Merchant ceases trading.
7. NFC, QR Codes, Digital Receipts, and Anonymous Use
7.1 Acceptance
Tapping an NFC card or scanning a QR code acts as acceptance of receiving Digital Receipts and any loyalty points.
7.2 Digital Receipts
Digital Receipts may include payment totals, dates and times, and Merchant details. However, the Digital Receipts sent to Users do not require a full itemised breakdown of costs.
7.3 Personal Information Following Registration
Once the User is logged in the Platform, they are not required to provide an email address or phone number at the point of the NFC interaction.
7.4 Anonymous Use
Anonymous Use is permitted, and a temporary or persistent Anonymous User ID can be allocated to Users. The Anonymous User ID will be used solely to enable functionality such as issuing digital receipts, recording loyalty interactions, preventing duplicate charges, and ensuring necessary services are provided. The Anonymous ID does not include personal details of the User and therefore does not directly identify the User's identity. You may be required to create an account or log into an existing account to retain receipts, records of loyalty interactions, or access additional app features.
8. Notifications
You may receive notifications relating to Orders, order readiness, collection reminders, and refund or exchange deadlines.
You are responsible for keeping notifications enabled on your device.
Loyla is not responsible for missed notifications due to device, operating system, or network issues.
9. Acceptable Use
You may only use services available on the platform for lawful purposes. You may not use the platform in any way that breaches any applicable laws and regulations. You also agree not to access without authority, interfere with, or damage any elements of the platform including NFC or QR code functionality, and must not attempt to manipulate such elements and features including loyalty points.
10. Service Availability
The Platform is provided on an "as is" and "as available" basis. Merchants decide their own operating hours meaning availability of services depends on the Merchants available on the app. Unfortunately, independent factors such as the actions or inactions of Merchants may cause delays in the provision of collection of Orders. Loyla does not guarantee uninterrupted or error-free operation. Users will be notified when Orders are not possible.
11. Privacy and Data Protection
11.1 UK GDPR
Loyla processes all personal data in compliance with the GDPR and the Data Protection Act 2018. For full details, please refer to the Privacy Policy.
11.2 Collection and Processing of Data
By using the App, you consent to the collection and processing of your personal data, including location data if necessary, for the purpose of fulfilling your Orders.
11.3 Third Parties
Loyla may engage third-party data processors (e.g., for payment processing or analytics). These processors are contractually obligated to comply with data protection laws applicable to such processing.
11.4 Store Partners
Store Partners may process your personal data for the purpose of fulfilling your Order. Store Partners are independently responsible for ensuring compliance with applicable data protection laws.
12. Suspension and Termination
Loyla may suspend or terminate your access to the Platform if you breach these Terms or misuse the Platform or if we have reason to suspect such a breach or misuse.
13. Limitation of Liability
To the maximum extent permitted by law, Loyla excludes all liability for any indirect or consequential loss, including loss of profit, revenue, goodwill or data resulting from or in connection with your use of the App.
14. Dispute Resolution
Any disputes related to orders or the sale or supply of goods or services, must be resolved directly with the relevant Merchant. Any dispute relating to the Platform must first be referred to Loyla. If the dispute cannot be settled, it may be referred to arbitration in accordance with the applicable law of these terms.
15. Product Information and Suitability
Where products are prepared or supplied based on information provided by the customer (including vehicle details), you are responsible for the precision of this information. Any refunds or exchanges are subject to the relevant Merchant's policy. Loyla is not responsible for the suitability, compatibility or correctness of any product selected or supplied where inaccurate information is provided by the customer.
16. Age-Restricted Products and Services
Certain products or services available through the Platform are subject to age restrictions under applicable law. The relevant Merchant is responsible for authenticating age requirements and may need the customer to provide valid proof of age at collection or service. Loyla does not verify age and is not responsible for decisions made by Merchants to approve or refuse a sale or service based on age verification.
17. Internet Connectivity
Certain Platform features require an active internet connection. Loyla is not responsible for delays or failed receipt or loyalty issuance caused by poor network connectivity or lack of internet access at the point of use. You, the User, are responsible for obtaining network access necessary to use the App/Website/Services, including any software updates and are responsible for any rates and fees from your mobile network provider.
18. Acceptance of Terms and Conditions
By accessing or using the App, you confirm that you have read, understood and agreed to these Terms. If you do not agree to these Terms, you must not access or use the App. By clicking "Accept", "Agree", "Create Account" or by accessing or using the Platform, you confirm that you have read and agree to these User Terms and Conditions and the Privacy Policy.
19. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Loyla in relation to use of the Platform and supersede any prior agreements or understandings.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
21. Severability
If any provisions of these Terms are held unenforceable, the remaining provisions shall continue in full force and effect.
22. Waiver
If any provisions of these Terms are held unenforceable, the remaining provisions shall continue in full force and effect and not be considered a waiver of any subsequent breaches, unless expressly made in writing and signed by an authorised representative.
23. Disputes and Complaints
23.1 Disputes with Store Partners
Complaints regarding the quality, sustainability or compliance of Goods must be directed to the relevant Store Partner. Loyla may facilitate communication between you and the Store Partner but is not responsible for resolving Goods-related disputes.
23.2 Disputes with Loyla

23.3 Alternative Dispute Resolution (ADR)
In the event of unresolved disputes, you may refer the matter to an ADR provider identified by Loyla. Details of available ADR processes can be provided upon request.
23.4 Jurisdiction
These Terms are governed by the laws of England and Wales. Disputes arising under these Terms are subject to the exclusive jurisdiction of the courts of England and Wales.
24. Intellectual Property
All intellectual property rights in the Platform, including but not limited to software, trademarks, and proprietary features, are owned by Loyla. Users are granted a limited, non-exclusive licence to use the Platform solely for its intended purposes. Any unauthorised use is strictly prohibited.
